Terms of service

These terms are the agreement between you and OnlySearch AI LLC (“we”, “us”) about Vivi, our finance assistant for iPhone and Android and its website at ifchat.net. Please read them. If you use Vivi, they apply to you.
1. Agreeing to these terms
When you create an account or use Vivi, you agree to these terms and to our privacy policy, which explains how we handle your data. If you do not agree, do not use Vivi. Joining the waitlist is covered by the privacy policy.
If you use Vivi for a company, you confirm that you can bind it to these terms.
2. Who may use Vivi
You must be at least 18 years old and able to enter a binding contract.
You must follow the laws that apply to you. Vivi is not available where its use is prohibited. You may not use Vivi if you are on a sanctions list, or to help anyone avoid sanctions or export controls.
Vivi can show you information about crypto assets. Whether you may hold or use those assets where you live is your responsibility, not ours.
3. The closed beta and the waitlist
Vivi is currently a closed beta. You join a waitlist, and we send invites when we are ready. We decide who gets an invite and when, and we may withdraw an invite or end beta access at any time.
- Features will change, break or disappear. We do not promise that Vivi will be available, uninterrupted or error-free.
- Vivi is free during the closed beta. Membership and credit features may appear in the app. If they do, they are sold through the App Store or Google Play and described before you buy. Subscriptions renew as the store describes, and you manage, cancel or ask to refund them with the store. Deleting your Vivi account does not cancel a store subscription.
- Vivi may show ads to free users, as the privacy policy describes.
- Things you create in the beta, such as saved files, may be lost. Keep your own copies of anything you need.
4. Your account and its security
You need an account to use Vivi. Give us accurate information and keep it up to date.
You are responsible for what happens under your account. Keep your sign-in secure and tell us at [email protected] if you think someone else has used it.
You can delete your account at any time. See Delete your account.
5. What Vivi is
Vivi is an assistant that reads. You can connect wallets and exchange accounts, or watch an address, and Vivi shows you what is there: balances, activity, prices and risks, together with the source and time of each number.
- Vivi never holds your funds. It never sends them and never trades for you.
- When something would move money, Vivi writes up what would happen and simulates the result. It becomes a confirmation card. Only you can approve it, and you sign it in your own wallet.
- Exchange connections use read-only API keys. Vivi turns away keys that can trade or withdraw.
- Vivi never asks for your recovery phrase, private keys, passwords, 2FA codes or withdrawal rights. If anyone asks you for these in Vivi’s name, do not share them, and tell us.
Vivi is not a broker, a bank, an exchange or an adviser. It does not connect to brokerage or bank accounts.
6. Not financial, investment, legal or tax advice
Crypto assets can lose value quickly, and you can lose everything you put in. Nothing Vivi shows changes that.
7. AI answers, market data and analysis
Vivi’s Agent is an AI. It can be wrong, incomplete or out of date, and it can misread a question or a file. Check anything important against the source before you rely on it.
- Market data may be delayed, incomplete or wrong. Vivi shows where a number came from and when, so you can check it.
- Risk checks (wallet risk, token approvals, look-alike addresses, contract checks, swap simulations) work from the data we can see. They can miss a risk or flag a safe one. A check that finds nothing is not a promise that something is safe.
- Imports are sorted by AI. Look at the preview before you add anything, and fix what is wrong.
- Analysis and backtests are illustrations. They use the data and assumptions shown, for example no fees. Past returns do not predict future ones.
- Alerts can arrive late or not at all. Do not rely on them alone.
8. Third-party services and wallets
Vivi works with services we do not run: exchanges, wallets, blockchains and the providers of market, risk and quote data. Prices come from Binance’s public data and market cap from CoinGecko, for example.
Your wallets and exchange accounts are yours, and their own terms apply to you. We do not control these services and are not responsible for them, for what they show, or for what happens when you use them. When you sign something in your own wallet, that is between you and your wallet and the network.
9. Acceptable use
Use Vivi only for lawful purposes and only as these terms allow. Do not:
- break any law, or use Vivi to commit or hide fraud, money laundering or sanctions evasion;
- connect an account, wallet or key that you do not own and are not authorised to read, or share sign-in details or keys that are not yours;
- attack, probe or overload Vivi, bypass its limits or safeguards, or interfere with other people’s use of it;
- scrape Vivi, or collect data from it by automated means, except through tools we provide;
- reverse engineer, decompile or copy Vivi, except where the law says you may;
- use the Agent or the cloud sandbox to run code or tasks that harm others or that have nothing to do with using Vivi;
- upload content you have no right to use, or content that is unlawful or contains malware;
- use Vivi, or what it produces, to train a competing product.
10. Your content
Your content is what you give to Vivi: your messages, files and statements, and the accounts and addresses you connect. It stays yours.
You give us a licence to host, process, copy and display your content, and to send it to the providers that help us run Vivi, only so that we can provide, secure and improve the service for you. The licence ends when your content is deleted, apart from backups and records we must keep. The privacy policy says more.
You are responsible for your content, and you promise you have the right to give it to us.
You may use the answers, files, scripts and charts Vivi makes for you. They may be similar to what Vivi makes for other people, and we do not promise they are accurate or original.
11. Feedback
If you send us ideas or feedback about Vivi, we may use them without paying you or crediting you, and without any duty to you.
12. Our property and third-party notices
Vivi, including its name, logo, design, software and text, belongs to us or our licensors. We give you a personal, limited, revocable licence to use the app and website for your own use, as these terms allow. We keep every other right.
Vivi uses third-party materials under their own licences, including:
- Charts by TradingView, built with TradingView Lightweight Charts.
- Market data from CoinGecko and Binance, with attribution where it applies.
- Other open-source software, each under its own licence.
Names and logos of wallets, exchanges and other companies belong to their owners. Using them does not mean they endorse Vivi.
13. Suspension and ending
You can stop using Vivi at any time and delete your account in the app or at Delete your account.
We may suspend or end your access, or remove content, if you break these terms, if we must by law, if your use puts Vivi or other people at risk, or when we end the beta or a feature. Where we reasonably can, we will tell you why.
When your access ends, your licence to use Vivi ends. Sections that by their nature should continue, such as disclaimers, limits on liability, indemnity and governing law, continue.
14. Disclaimers
You use Vivi at your own risk. Some places do not allow some of these limits. Where that is so, they apply only as far as the law permits.
15. Limit of our liability
You are responsible for decisions you make and for transactions you approve and sign in your own wallet. We are not liable for losses from them.
Nothing in these terms limits liability that the law does not allow us to limit, such as liability for fraud, for our gross negligence or wilful misconduct, for death or personal injury caused by our negligence, or for rights you have as a consumer that cannot be waived.
16. If a claim is made against us
If you use Vivi for a company or other business, you will defend us and our officers, members, employees and contractors against claims, and pay related losses and reasonable costs, that come from your content, your breach of these terms, or your breach of law or of someone else’s rights. We will tell you about the claim promptly. We may take part with our own counsel at our own cost.
17. Changes to Vivi and to these terms
We may change, pause or stop any part of Vivi at any time, and we expect to during the beta.
We may update these terms. When the changes are material, we will tell you in the app or by email before they apply, and we will change the date at the top. If you keep using Vivi after the changes apply, you accept them. If you do not accept them, stop using Vivi and delete your account.
18. Governing law and disputes
The laws of the state in which OnlySearch AI LLC is organized govern these terms and any dispute about Vivi, without regard to conflict-of-law rules. Disputes go to the courts located there, and you and we agree to those courts.
Before you start a claim, please write to us at [email protected]. Most problems can be fixed that way.
If you are a consumer, you also keep any rights under the mandatory law of the place where you live.
19. The rest
These terms and the privacy policy are the whole agreement between you and us about Vivi.
If a part of these terms cannot be enforced, the rest stays in force. If we do not enforce a term, we have not given it up.
You may not transfer your rights under these terms without our consent. We may transfer ours as part of a merger, sale or reorganization.
20. Apple and Google
Apple’s standard licensed application end user licence agreement also applies to the iPhone app, unless these terms are stricter. Apple and Google are not parties to these terms and have no duty to provide support for Vivi. Apple is a third-party beneficiary of these terms as they apply to the iPhone app.
